Vertiv to Acquire UtilityInnovation Group for $2.6 Billion

Vertiv has announced the acquisition of UtilityInnovation Group (UIG), a leader in microgrid solutions, advanced power controls, and behind‑the‑meter power architecture design for data centers, in a transaction valued at approximately $1.45 billion in cash at closing, with up to an additional $1.15 billion contingent on achieving specific EBITDA targets over 12‑ and 24‑month periods. At the initial purchase price, the deal reflects roughly 13x expected UIG 2027 EBITDA, a multiple that would decrease significantly if the full earnout is achieved.

Vertiv expects the acquisition to be accretive to adjusted earnings per share within the first year after completion. Strategically, the move extends Vertiv upstream to the grid interconnect, adding microgrid controls, onsite generation and energy storage orchestration, and behind‑the‑meter power architecture capabilities that will help data center operators secure power faster as grid constraints increasingly limit AI infrastructure deployment.

As power availability becomes a critical factor in data center development, architecture decisions are shifting earlier in the planning process, with microgrid systems enabling coordination of onsite generation and storage, reducing reliance on utility power, and supporting the grid when needed. This elevates the importance of power architecture at the earliest stages of site development, where decisions have significant downstream implications.

Vertiv CEO Gio Albertazzi emphasized that competitive advantage for AI data center operators increasingly depends on how quickly they can move from site selection to first token, noting that Vertiv already offers the industry’s most complete power and cooling portfolio and that UIG will extend this portfolio upstream to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip without locking customers into a single generation technology.

Albertazzi added that the combined capabilities will better support grid‑connected sites, bridge‑to‑grid deployments, and islanded sites powered by onsite generation, reducing complexity from planning through rack‑level deployment and accelerating time to power.

UIG Founder and CEO Sidney Hinton said the company was built to solve increasingly complex power challenges for data center operators through flexible, technology‑agnostic architectures, and that Vertiv’s global scale and critical infrastructure expertise make it a strong strategic fit that will expand UIG’s reach as power becomes a defining constraint on data center growth.
